These Rules apply to all, without exception, users of the site Moto Riders Universe ("MRU"). By using the site you fully agree with these Terms of Use ("TOU")

Terms of Use

1. If you are 13 or older, we grant you a limited, revocable, nonexclusive, not assignable, not sub-licensable license to access MRU in compliance with the TOU; unlicensed access is unauthorized. You agree not to license, distribute, make derivative works, display, sell, or "frame" content from MRU, excluding content you create and share with friends/family. You grant us a perpetual, irrevocable, unlimited, worldwide, fully paid/sub-licensable license to use, copy, perform, display, distribute, and make derivative works from content you post.
2. You agree not to use or provide software (except for general purpose web browsers and email clients, or software expressly licensed by us) or services that interact or interoperate with MRU, e.g. for downloading, uploading, posting, flagging, emailing, search, or mobile use. Robots, spiders, scripts, scrapers, crawlers, etc. are prohibited, as are misleading, unsolicited, unlawful, and/or spam postings/email. You agree not to collect users' personal and/or contact information ("PI").
3. You agree we may moderate MRU access and use in our sole discretion, e.g. by blocking (e.g. IP addresses), filtering, deletion, delay, omission, verification, and/or access/account/license termination. You agree (1) not to bypass mentioned moderation, (2) we are not liable for moderating, not moderating, or understanding of moderating, and (3) nothing we say or do waives our right to moderate, or not.
4. Many jurisdictions have laws protecting consumers and other parties to the Treaty, limiting their ability to waive certain rights and responsibilities. We respect such laws; nothing herein shall waive rights or responsibilities that cannot be waived.

To the extent permitted by law,

1. We make no promise as to MRU, its completeness, accuracy, availability, timeliness, propriety, security or reliability
2. Your access and use are at your own risk, and MRU is provided "AS IS" and "AS AVAILABLE"
3. We are not liable for any harm resulting from
   • - User content
   • - User conduct, e.g. illegal conduct
   • - Your MRU use
   • - Our representations
4. We and our staff, directors, employees ("mru entities"), disclaim all warranties & conditions, evident or implied, of merchantability, fitness for particular purpose, or non-infringement
5. MRU entities are not liable for any indirect, incidental, special, consequential or punitive damages, or any loss (E.G. of profit, revenue, data, or goodwill)
6. Under no circumstances our total liability may not exceed what you paid us in the past year/last year.

General

Except as otherwise provided in this Agreement, if any provision of this User Agreement is held to be invalid, void or for any reason unenforceable, such provision will be excluded and won’t affect the validity and enforceability of the remaining provisions. In our sole discretion, we may assign this User Agreement, by providing notice of such assignment in accordance with the Notices Section.

Headings are intended for reference purposes only and do not limit the scope or extent of such Section. Our failure to act with respect to a breach committed by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of this User Agreement.

We may amend this User Agreement at any time by posting the amended terms on Motoridersuniverse.com. Our right to amend the User Agreement includes the right to modify, add, or remove terms in the User Agreement.

The policy posted on our sites may be changed from time to time. Changes take effect when we post them on the MRU site.

If you create or use an account on behalf of a business entity, you state that you are authorized to act on behalf of such business and the business is bound by this User Agreement. Such account is owned and controlled by the business entity. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this User Agreement.

The User Agreement, the User Privacy Notice, and all polices set forth the entire understanding and agreement between you and MRU and supersede all prior understandings and agreements of the parties

Laws and regulations

User access to and use of the site is subject to all applicable international, federal, state, and local laws and regulations.

Warranties; Liability

Your use of our website is at your sole risk. Our site is provided to you "as is" and on an "as available" basis. We specifically disclaim all warranties and conditions of any kind, whether evident, implied or statutory, including but not limited to the implied warranties of merchantability, suitability for a particular purpose and non-infringement. We disclaim any warranties regarding the security, reliability, timeliness, and performance of our site. We disclaim any warranties for any information or advice obtained through our site. We disclaim any warranties for services or goods advertised on our site or received through any links provided by our site, as well as any information or advice received through any links provided through our site.

MRU prohibits caching, unauthorized hypertext links to the site, and the framing of any Content available through the Site. MRU reserves the right to disable any unauthorized links or frames and specifically disclaims any responsibility for the Content available on any other websites linked to the Site. Access to any other websites linked to the Site is at the user's own risk.

Security

The Internet, being an open network, is not secure. If you choose to send us electronic correspondence via the Sites (Messages MRU, e-mail), you admit the risk of such an open network. You agree that we do not, and cannot, guarantee that such correspondence will not be intercepted or changed or that they will reach the intended recipient safely. However, when we ask you to provide Personal Information (as defined in our Privacy Policy), or enter a contest, we use commercially reasonable security measures meeting industry standards to protect that information.

Postings

MRU is under no obligation to review any messages, information, or content ("Postings") posted on the site by users and assumes no responsibility or liability relating to any such Postings. Despite the above,

MRU may monitor the Postings on the Site from time to timeand may decline to accept and/or remove any Postings that contain: Any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, profane, hateful, racially, ethnically, or otherwise objectionable material of any kind, including among others any material which encourages behaviorthat would be a criminal offense, leads to civil liability, or otherwise violate any applicable local, state, national, or international law.
Advertisements or Requests of any kind.
Messages posted by users impersonating others.
Personal information such as messages which state phone numbers, social security numbers, account numbers, addresses, or employer references.
Messages from employees, who are not official representatives of MRU purporting to speak on behalf of MRU or containing confidential information or expressing opinions concerning MRU
Messages that offer unauthorized downloads of any copyrighted or private information.

Fees and payments

Access to our websites and use of selected features of our Platform is free. We may charge fees for various premium features and services that we offer, and we will notify you of those charges, when we offer you the premium features or services for a fee. We may change this policy and begin charging for access to our website and other features and services in our sole discretion and by notifying you on our website, and also we may add, remove or change the features and services we offer or the fees (including the amount or the type of fees) we charge at any time.If we introduce a new service or charge a new fee, we will notify you of the fees for that service, when we launch the service or start charging a new fee. If we notify you of new fees or change the fees for an existing service, you agree to pay all the fees and charges specified and all applicable taxes for your continued use of the applicable service. We are not responsible for any charges or expenses you incur resulting from being billed by us in accordance with these Terms of Service (e.g., cost overrun, exceeding account limits, etc.).

Password and Security

When you complete our registration process, you will create a password that will allow you to access our site. You agree to maintain the confidentiality of your password, and are fully responsible for all liability and damages resulting from your failure to maintain that confidentiality and all activities that occur through the use of your password. Privacy of Others; Marketing

If MRU provides you with information about another user, you agree you will use the information only for the purposes it is provided to you. You may not disclose, sell, rent, or distribute a user's information to a third party for purposes unrelated to the Services. Additionally, you may not use information for marketing purposes, via electronic or other means, unless you obtain the consent of the specific user to do this.

Changes to this privacy policy

We may change or replace this Privacy Policy at any time. If we make material changes, we will provide current customers and registered users with a revised notice that describes our new practices or a link to the new privacy policy. Stylistic changes will be publicized via notice on the Site.

Translator

You authorize us to use automated tools to translate your MRU content and member-to-member messaged, fully or partly, into local languages where such translation solutions are available. We may provide you with tools which will allow you to translate content at your request. The accuracy and availability of any translation are not guaranteed.

Sale

We may provide pricing, shipping, listing, and other guidance in our Services, such guidance is solely informational and you may decide to follow it or not. MRU has no control over and does not guarantee the existence, quality, safety or legality of items advertised; the truth or accuracy of users' content; the ability of sellers to sell items; the ability of customers to pay for items.

Indemnity

You will indemnify and hold us (and our affiliates and subsidiaries, and our and their respective staff, directors, employees, agents) harmless from any claim or demand, including reasonable legal fees, made by any third party due to your breach of this Agreement, your improper use of MRU Services or your breach of any law or the rights of a third party.

Release

If you have a dispute with one or more users, you release us (and our affiliates and subsidiaries, and our and their respective staff, directors, employees and agents) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, in any way connected with such disputes.
